Terms of Service

Effective May 6, 2026

1. Agreement

These Terms of Service (the “Terms”) form a binding agreement between you and DealIntel (“DealIntel,” “we,” “us,” or “our”) governing your access to and use of dealintel.io and the related installable application (together, the “Service”). By creating an account, signing in, or otherwise using the Service, you agree to these Terms.

2. Eligibility

DealIntel is offered to approved members who are at least 18 years old and capable of forming a binding contract. You must provide accurate registration information and keep it current. We reserve the right to refuse or revoke access at our discretion, including where access has been obtained through misrepresentation.

3. The Service — Information Only, No Advice

DealIntel provides analytical tools and AI-generated outputs for real estate investment decisions: market scans, deal scoring, sensitivity analysis, financial modeling, memorandum generation, and saved-deal management. Outputs are analytical and informational only. They support — but never replace — your independent judgment, due diligence, and licensed professional advice.

DealIntel is not a broker, dealer, lender, real estate agent, fiduciary, or investment, legal, tax, accounting, or financial advisor. We do not solicit, recommend, or endorse any specific transaction, property, security, or investment strategy. Nothing in the Service constitutes an offer, solicitation, or recommendation to buy, sell, lease, or finance any property, security, or instrument. No fiduciary, advisory, or agency relationship is created by your use of the Service.

You understand that all investment, purchase, financing, and development decisions are made solely by you, based on your own analysis and on advice from your own licensed professionals. We are not parties to any transaction you pursue.

4. Account & Security

You are responsible for safeguarding your password and for any activity under your account. Notify us promptly at security@dealintel.io if you suspect unauthorized access. Credentials and access tiers are personal and may not be shared without our written consent.

5. Acceptable Use — What You May Not Do

You receive a personal, limited, revocable right to use the Service for your own internal investment-decision purposes. That right is narrow. You agree not to:

  • Copy, reproduce, mirror, frame, screen-scrape, crawl, harvest, archive, save, screenshot for redistribution, or otherwise duplicate any part of the Service, its UI, its source code, its outputs, its layouts, its visuals, its copy, its scoring methodologies, its prompts, or its data sets.
  • Reverse engineer, decompile, disassemble, or attempt to derive the underlying source code, models, weights, or training data of the Service or of any component used to deliver it.
  • Use the Service, its outputs, its branding, or any portion of its design to build, train, fine-tune, evaluate, or benchmark any competing product, model, dataset, or service — whether commercial, academic, or open source.
  • Clone, mimic, or substantially replicate the look, feel, taxonomy, navigation, naming, or feature set of the Service in any other product or website.
  • Resell, sublicense, redistribute, share, lease, or otherwise transfer your access, credentials, credits, outputs, reports, or memoranda to any third party without our prior written consent.
  • Remove, alter, obscure, or fail to preserve any copyright, trademark, watermark, attribution, or proprietary notice that appears in the Service or its outputs.
  • Republish, post, or otherwise make outputs of the Service publicly available (including on social media, listings, marketing materials, or pitch decks) without crediting DealIntel and without our prior written consent.
  • Use the Service to violate any applicable law, regulation, sanction, fair-housing rule, securities regulation, or third-party right.
  • Submit false, misleading, defamatory, infringing, or unlawful content to the Service.
  • Interfere with, probe, load-test, or disrupt the integrity, security, availability, or performance of the Service, its APIs, or its infrastructure.
  • Use any bot, automated agent, headless browser, or third-party AI system to interact with the Service except where expressly authorized by us in writing.
  • Bypass, attempt to bypass, or facilitate the bypass of any access control, rate limit, paywall, credit gate, or authentication mechanism.

Violations may result in immediate suspension, termination without refund, forfeiture of credits, civil action, statutory damages, and referral to law enforcement.

6. Subscriptions, Credits & Payments

Some features of the Service require a paid tier or deal credits. Pricing, included features, and credit allotments are shown at /account/pricing and may change over time. Credits are non-refundable except where required by law. Subscriptions renew automatically until canceled. You authorize us to charge your saved payment method on the renewal date.

We may suspend or terminate access for non-payment after providing reasonable notice.

7. Data Sources & Accuracy

The Service combines data from third-party sources (including MLS aggregators) with proprietary models. We do not warrant that data, comparables, valuations, returns, or AI-generated commentary are complete, current, or error-free. Real estate markets change rapidly. Independently verify critical figures before transacting.

8. AI-Generated Content

Portions of the Service rely on large language models (including Anthropic Claude and OpenAI GPT) to produce summaries, deal verdicts, renovation guidance, and memorandum text. These outputs are probabilistic and may be incorrect or incomplete. Do not rely on AI-generated content for legal, tax, accounting, or licensed professional advice. You are solely responsible for decisions made based on these outputs.

9. Intellectual Property & Anti-Cloning

DealIntel, the DealIntel name and brand, the gold-and-cream visual system, the layout and information architecture of the site, the proprietary scoring engines, the kill-list and playbook frameworks, the prompt designs, the AI orchestration, the financial models, the memorandum templates, the analytical outputs, the underlying code (frontend and backend), and every screen, copy element, icon, and asset you encounter (together, the “Materials”) are the exclusive property of DealIntel or its licensors and are protected by U.S. and international copyright, trademark, trade-dress, trade-secret, and unfair-competition laws.

We grant you a narrow, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to view and use the Materials solely for your internal investment-decision purposes during the term of your access. All other rights are reserved. The license does not grant you ownership of, or any right to copy, modify, distribute, display, or create derivative works from, any portion of the Materials.

Cloning, replication, or substantial imitation of DealIntel — including its visual identity, terminology, deal taxonomy, scoring methodology, kill list, or report structure — is strictly prohibited and will be prosecuted to the fullest extent of the law. We monitor for unauthorized reproductions and pursue takedowns, statutory damages, injunctive relief, and recovery of attorneys’ fees.

You retain ownership of data you submit (e.g., subject properties, your deal notes), but you grant DealIntel a worldwide, royalty-free license to host, process, analyze, store, and use that data in aggregated and de-identified form to operate, improve, and secure the Service.

9a. DMCA & Takedown Policy

We respect intellectual-property rights and expect you to do the same. To report content on the Service that you believe infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to legal@dealintel.io. We respond to valid notices and may suspend the accounts of repeat infringers.

Conversely, if you believe your work appears in a third-party site that has cloned DealIntel, we will pursue takedown on our own behalf and may coordinate with you where appropriate.

10. Termination

You may terminate by deleting your account from the profile screen or by emailing support@dealintel.io. We may suspend or terminate access at any time for breach of these Terms or other legitimate reasons. On termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (e.g., IP, disclaimers, limitation of liability) will continue to apply.

11. Investment Risk — You Assume All Risk

Real estate and related investments are inherently risky. Markets move, comparables go stale, costs overrun, financing tightens, tenants default, regulations change, and projections rarely match outcomes. Past performance does not predict future results. AI- and data-driven outputs can be wrong, biased, or stale.

You acknowledge and agree that every decision you make based on, or informed by, the Service — including any decision to acquire, sell, hold, develop, lease, finance, renovate, or pass on any property — is made entirely at your own risk and on your sole responsibility. You assume full and exclusive responsibility for any and all losses, damages, taxes, fees, penalties, missed opportunities, or adverse outcomes arising from those decisions, regardless of whether the Service was accurate, complete, current, or available at the time.

DealIntel does not guarantee any return, valuation, ARV, IRR, profit, occupancy, lease-up, or exit price. You agree not to hold us responsible for outcomes of investments you make.

12. Disclaimer of Warranties

The Service, the Materials, and all outputs are provided “as is” and “as available,” with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, currency, title, non-infringement, quiet enjoyment, or any warranty arising from course of dealing or trade usage.

We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, that defects will be corrected, or that any content (including valuations, comparables, ARV ranges, projected returns, or AI commentary) is accurate, complete, current, or reliable. No advice or information obtained through the Service creates any warranty not expressly stated in these Terms.

13. Limitation of Liability

To the maximum extent permitted by law, DealIntel and its owners, officers, directors, employees, contractors, affiliates, licensors, suppliers, and providers (the “DealIntel Parties”) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, capital, equity, data, deals, opportunities, goodwill, or business, arising out of or in connection with the Service, the Materials, or any decision you make based on them — even if the DealIntel Parties have been advised of the possibility of such damages and even if a remedy is found to have failed of its essential purpose.

Our aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service is capped at the greater of (a) the fees you actually paid to DealIntel in the three (3) months immediately preceding the event giving rise to the claim and (b) one hundred U.S. dollars (US$100). Multiple claims do not enlarge this limit.

Some jurisdictions do not allow certain warranty exclusions or damage limitations. To the extent any portion of this section is unenforceable, the remainder applies to the maximum extent permitted.

14. Indemnification

You agree to defend, indemnify, and hold harmless the DealIntel Parties from and against any claim, demand, loss, liability, damage, judgment, fine, penalty, or expense (including reasonable attorneys’ fees and costs) arising out of or relating to (a) your use of or access to the Service; (b) any decision, transaction, or investment you make based on or informed by the Service; (c) your breach of these Terms; (d) your violation of any law or any third-party right; or (e) any content you submit to the Service. We may assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute will be resolved by binding arbitration administered by JAMS in Wilmington, Delaware, under its Streamlined Arbitration Rules, except that either party may bring a claim in small-claims court when eligible. The parties waive any right to participate in a class action.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will post the new effective date at the top of this page and, if appropriate, notify you by email. Continued use of the Service after a change means you accept the updated Terms.
